Terms of Service

By accessing or using RixyAgent (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.

RixyAgent is an enterprise "AI employee" SaaS platform. You can create AI agents that chat across channels, use tools, run code, and retain memory.

The Service is multi-tenant, and each tenant's data is isolated from others.

You must provide accurate account information and are responsible for keeping your credentials confidential.

You must be of the legal age required to form a binding contract.

You are responsible for all activity that occurs under your account.

You may not use the Service for any illegal, abusive, or fraudulent purpose, or deploy agents that cause harassment, spam, or malicious automation.

When connecting third-party channels, you must comply with those platforms' respective terms of service and policies.

You may not attempt to break tenant isolation, circumvent usage metering, or access other customers' data without authorization.

The Service is usage-based and metered in "Credits": $1 = 1,000 Credits.

Subscriptions are processed via Stripe. Subscription fees are charged in advance for the selected billing period.

Fees paid are non-refundable except where otherwise agreed in writing or required by applicable law; you may cancel at any time, and cancellation takes effect at the end of the current billing period.

We may adjust pricing with reasonable notice; price changes do not affect a current period already purchased.

Output generated by AI agents may be inaccurate, incomplete, or unsuitable for your specific situation.

You are responsible for reviewing and verifying AI output before use, and for any actions taken based on it.

The Service does not provide professional (legal, financial, medical, etc.) advice.

You retain ownership of your data, uploaded content, and the output your AI agents generate for you.

RixyAgent retains ownership of the platform, software, and underlying technology.

You grant us the limited license needed to process your data to operate and improve the Service.

The Service relies on third-party providers, including Stripe (payments), large-language-model providers accessed via aggregators (e.g. OpenRouter) and other vendors, Railway (hosting), and Cloudflare R2 (storage).

Your use of these third-party services may also be subject to their respective terms. We are not responsible for the conduct or availability of third-party services.

We apply reasonable security measures including encryption in transit and at rest, AES-256-GCM encryption for credentials, tenant isolation, and isolated sandbox code execution.

Despite this, no system is perfectly secure; you are responsible for safeguarding your own account credentials.

You may terminate your account at any time.

We may suspend or terminate your access, with notice, if you violate these Terms or misuse the Service.

Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

To the maximum extent permitted by law, RixyAgent is not liable for any indirect, incidental, special, or consequential damages.

In no event will our total liability exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict-of-laws principles.

We may update these Terms from time to time. Material changes will be announced on the site or via email, and the "Last updated" date above will be revised. Continued use after changes take effect constitutes acceptance of the updated Terms.
